Q.   Why did ScanSoft change its name to Nuance?
A.   The new name presents a unified position for the company and marks the culmination of four years of work in building the world’s most comprehensive and innovative provider of speech solutions. Previously, ScanSoft had been focused on delivering solutions based on both imaging and speech technologies, and the name “ScanSoft” implied to some people that the company was primarily a supplier of imaging solutions. Moving to Nuance, a name independent of a specific technology, presents an opportunity to use a brand that is respected and known in the speech industry yet inclusive enough to use for the entire organization, including the imaging business.

Q.   When will the name change and associated activities be completed?
A.   The name change is effective immediately as of October 18, 2005. On that date, the majority of the core organizational, administrative and marketing activities will be largely complete with the exception of some longer lead time items like building signs. This includes a new website, collateral system, business cards, forms and other items.

Q.   What happens to the ScanSoft name?
A.   Nuance will use the ScanSoft name for its family of imaging technologies and applications.

Q.   Does the company still have its SpeechWorks Division and Productivity Applications Division?
A.   The company is structured to address the sales, marketing and services needs of two divisions -- speech (network and embedded speech) and productivity applications (dictation and imaging). The company maintains broad, horizontal groups – engineering, finance, human resources, information technology, operations, and communications – to support our efforts across all product lines.

Q.   With a growing emphasis on speech, does Nuance anticipate divesting from its imaging business?
A.   No. In fact, Nuance expects growth within its imaging business as it continues to provide technical and product leadership within imaging markets. The company will continue to focus on delivering the best imaging solutions available, extending its leadership in scanning, OCR, PDF and document management. ScanSoft's imaging solutions have been selected by nearly 100% of hardware and software vendors delivering imaging solutions and the company remains committed to delivering innovative solutions.

Q.   Where is the company headquartered?
A.   Nuance is headquartered in Burlington, Massachusetts and will operate from more than 30 regional offices around the world.

Q.   Will the company change its stock ticker symbol?
A.   Yes, in November. The company will use its new name immediately, but will continue to be listed under the ticker symbol “SSFT” on the Nasdaq National Market until November 21, 2005 when it will then begin trading as “NUAN” (Nasdaq: NUAN).
